Website and Social Media Committee:
The Website and Social Media Committee is responsible for the oversight and promotion of the College’s website and LinkedIn account. In addition to the chairs, committee members are comprised of representatives from other committees, each of whom is the responsible person for such other committees to update relevant content on the site and LinkedIn to promote engagement by committees and users. The committee is presently working on creating a printable version of the online membership directory.

Our fall goals include Officer interviews that can be posted on the website. We will then be expanding these interviews to new members. We anticipate that these short interviews/paragraph will be featured in a dynamic and changing text box on the website. We will also continue to assist the co-chairs with conference theme planning and interactive events. We have successfully posted all individual membership photos from the Spring Forum to each member’s profile page. We don’t anticipate the need for new members at this time, however always happy to have someone that volunteers.

Membership Committee:
The Membership Committee supervises and reviews the applications for election of Fellows to the College (“Fellows”), makes recommendations to the Trustees with respect to each application, and assists the Trustees with their decisions to approve applicants for fellowship. The Committee also monitors membership numbers and demographics of the College. We continue to explore opportunities to bring additional Fellows into the College, and welcome any feedback or suggestions that could help to pursue this goal. This responsibility belongs to all of us, and so the efforts of our Fellows in this regard are sincerely appreciated!

Education Committee:
The Education Committee has been busy once again this year. In addition to work on the 2015 Spring Forum, the Committee offered two well-attended 1-hour CLE programs in April and June of 2015: the first comparing the new LMA European private placement model agreements with the ACIC Model Form (presented by Morgan, Lewis) and the second on Middle Market Loans (presented by Allstate, at the suggestion of Committee member Mary Jo Quinn, and Sutherland, Asbill). This year for the first time, the Committee designated one of its members, Dora Jimenez from New York Life, to liaise with the Website Committee for the purpose of exploring how best to use the new ACIC website capabilities for the educational purposes of the College. In June and July, Nathan Limpert from Greenberg Traurig spearheaded the Committee’s review of the ACIC’s CLE credit/provider status in all states with significant ACIC membership. Currently, the Committee is assisting the Co-Chairs, Maureen Cronin from New York Life and Chris Lawrence from Morgan, Lewis, in the final planning stages of this year’s Annual Meeting taking place in New York on October 22-23.
The Committee is also in the process of selecting topics both for upcoming 1-hour CLEs, including a third one-hour CLE program planned for the fourth quarter of this year, and for the Spring Forum in Chicago on April 7-8, 2016. CLEs may be presented as webinars or as part of a lunch or cocktail hour gathering. Suggestions for topics and speakers are welcome from all Members of the College. ACIC Members interested in participating in educational events sponsored by the Committee, suggesting ways the Committee can better utilize the ACIC website, or joining the Education Committee when openings arise, are encouraged to contact one of the Co-Chairs.

Communications Committee:
The ACIC Communications Committee met in January and in May to coordinate content and execution of the monthly ACIC Private Notes newsletter. Co-editors Kristen L. Gudewicz and Mikhel Schecter have done a superb job of overseeing the completion of a monthly newsletter each month since January. Committee members Seth Bryant, Melody Cross, Stefanie Greer, Brendan Kelly, Craig Kline, Robin Lenarz and Danielle Maksimow have all contributed articles of interest to the newsletter this year. We are also very appreciative of the good work of numerous lawyers who have provided Legal Development Updates in regions across the US, Canada and Europe for our newsletter this year. We welcome ideas from the membership on how to improve our communication as well as suggestions for content in our newsletters.

Transaction Process Management Committee:
The Transaction Process Management Committee (TPMC) is responsible for the continued development of the Model Form Note Purchase Agreements. In April of this year the TPMC posted to the ACIC website the final version of the Model X Form No. 2 Note Purchase Agreement. The TPMC is in the process of finalizing the Model X Form No. 1 Note Purchase Agreement and we expect to post the final version this Fall of 2015. The TPMC will then look to start to update the Model Form Make-Whole and Swap Indemnity Language for Swapped Notes.
