Job Summary
Within Aflac Global Investments, the VP, Investment Attorney is a member of the New York Legal, Regulatory, and Compliance team and works closely with investment professionals responsible for the Aflac structured private credit portfolio. The position requires experience in structuring, negotiation and documentation of structured private credit investments, including private securitized products and asset-backed securities involving a variety of underlying collateral and cash flows, credit tenant lease transactions, equipment finance, infrastructure finance, and other complex financing transactions.
Reports to: Managing Director, Global Head of Investments Legal and Regulatory
Primary Support: Primary support for Structured Private Credit Investment Team, Global Credit Research and Portfolio Management Teams and Derivatives Strategy and Trading.
Other Relationships: Columbus Georgia, New York and Tokyo Japan Legal, Regulatory and Compliance, Investment Risk, Accounting Policy, Investment Accounting, Global Tax, Securities Operations, and other key stakeholders.
Principal Duties & Responsibilities
Provide legal support based in NY for Aflac Global Investments private credit activity, with a focus on investment grade structured private credit and other complex financing transactions.
Partner with credit and portfolio management teams in the US and Japan to analyze the structure, terms, and documentation of structured private credit investments and other debt financings.
Advise global investment team on transaction structures and risks, rights in collateral, payment waterfalls, financial covenants, bankruptcy and enforcement risks, and other legal risks.
Cover amendments, consents, workouts, and special situations.
Oversee external counsel providing support on the foregoing matters and manage the transaction process.
Monitor legal, regulatory and market developments related to complex finance including sustainable investing and environmental, social, and governance (ESG) developments.
Provide guidance on permissible investment activities and on insurance laws and internal risk limits applicable to investment activity.
Work to limit regulatory and reputational risk of Aflac and help to reinforce Aflac Global Investment’s culture.
Education/Experience:
10 plus years of major law firm or other experience in Corporate Finance, Securitizations, Private ABS, Debt Capital Markets, and/or Derivatives. Insurance Industry and Buy-side experience a plus.
J.D., Admission to State Bar of New York or other state bar required.
Current transactional experience reviewing, analyzing, explaining, drafting, and negotiating documents for complex financing transactions. Familiarity with traditional investment-grade private placement transaction process and ACIC Model Form Note Purchase Agreement a plus.
