The Private Placement Section of Prudential's Law Department is seeking a lawyer to provide legal support to the Energy & Corporate Finance and Electric Finance Group offices of Prudential Capital Group ("PCG") in Dallas. PCG manages (and originates new investments for Prudential's $69.1 billion portfolio of privately placed debt and equity investments, including the $7.0 billion Oil & Gas portfolio, the $6.5 billion Power portfolio and the $2.2 billion Corporate Finance portfolio managed by the Dallas office. The Dallas office is one of PCG's seven domestic regional offices and is responsible for structuring, negotiating and supervising the documentation of transactions, many of which are highly structured, highly leveraged or both.
The ideal candidate will have a minimum of four years of experience in the corporate finance area, preferably with a major law firm or major financial institution. Relevant corporate finance experience including representation of issuers or underwriters in connection with public offerings of debt and/or equity securities or representation of purchasers of private offerings of debt and equity securities; representation of developers or lenders in power project financings; representation of lenders in oil and gas financings; and representation of owners or lenders in leveraged lease transactions.
In addition, candidates should possess:
- Outstanding transaction management skills
- Adeptness in building relationships with clients, corporate borrowers, outside counsel and institutional investors as well as colleagues across the Enterprise
- Superior communication and influence skills
- Expertise in drafting and negotiating financing agreements, credit support documents and legal opinions
- Exceptional working knowledge of federal securities laws is also important.
- JD and be admitted to practice law in Texas (or obtain within 12 months)
- Project and energy finance is desirable but not essential.
