Effective January 2, 2025, the U.S. Treasury’s Outbound Investment Security Program has introduced expansive restrictions on certain cross-border investments involving U.S. persons and entities with ties to China (including Hong Kong and Macau). The OIS Program targets transactions in high-impact sectors like semiconductors, quantum computing, and artificial intelligence (AI).
Violations can lead to serious consequences, including civil and criminal penalties—and even jail time. Treasury also has the authority to nullify deals or force divestment of prohibited transactions.
Although the Program is still under review by the current administration, enforcement is already underway. Treasury has begun proactively reaching out to U.S. investors suspected of engaging in notifiable or prohibited transactions.
